1. Retainer compliance for all our portfolio entities including director transition, auditor transition and name change of entities; 2. Preparation and finalisation of board agenda, minutes of board and shareholders meeting, supporting papers, circular resolution of highest standard; 3. End to end secretarial support for brand acquisitions such as private placement, rights issue and share transfer; 4. End to end secretarial and administrative support for debt draw drawn and charge filing including rolling charge; 5. End to end secretarial and administrative support for equity funding at Singapore and India level; 6. Filing of various forms under Companies Act, 2013 and FEMA (FC-GPR, FC-TRS, FLA return, ODI and FDI filings); 7. Coordination with AD bank and RBI authorities for FEMA related matters; 8. Coordination with sub-registrar for stamp papers, notarisation, adjudication etc.; 9. Supervising incorporation of entities; 10. Coordination with overseas consultant for secretarial compliance; and 11. Providing administrative support to legal, finance and M&A teams.
• Candidate must be interested in research and analysis of legal compliances under various corporate laws. • Must possess good knowledge and understanding of Corporate laws like Companies Act and its rules, various SEBI regulations, FEMA etc • Must be capable of keeping track of changing laws. • Apart from handling secretarial activities, must be interested in front end engagement with client/prospects andin supporting marketing team of company. • Have good communication and interpersonal skills • Must be good in drafting and working on excels. • Must be enthusiastic and self-motivated. • Have basic computer skills
